These Terms and Conditions ("Terms", “Affiliate Agreement” and/or "Terms and Conditions") govern the Affiliate Program (as this term defined hereunder) that is made available by BGTECH LTD, (bgtech.ltd, “we”, “our”, “us” and/or “Company”).

Carefully read these Terms and Conditions before submitting your application to participate in the macrevenue.com’s Affiliate Program (“Program” and/or “Affiliate Program”), because by using this Website you are agreeing to abide by these Terms and Conditions.

Introduction

Your use of the Website and entering into the Program are governed by the following Terms as applicable to the Website. These Terms apply to all Affiliates (as this term defined hereunder), visitors, users and others who access and/or use this Website. If You transact on and/or use the Website, you shall be subject to this Terms. By using the Website, you agree that these Terms and Conditions constitute your binding obligations.

ACCESSING, BROWSING OR OTHERWISE USING THE WEBSITE AND/OR PARTICIPATING IN THE PROGRAM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS, SO IF YOU DISAGREE WITH THESE TERMS OR ANY PART OF IT THEN YOU MUST NOT USE THIS WEBSITE AND PROMOTE OUR SERVICES (OR SOFTWARE).

Definitions

"Affiliate Program" has the meaning set forth in the preamble of this Terms.

“Affiliate”, and/or “you”, “your” mean the business, individual or entity, applicant/ the end user accessing the Website, its contents, submitting the application and participating in the Program, offered through the Website.

"Affiliate Website" means the Affiliate's Internet site which displays and/or promotes our Services and/or Software.

"Commission Fee" means fee for each Event made by a Referred Customer that you refer to macrevenue.com under and/or in accordance with these Terms.

"Event" means either Qualified Purchase or Software Download.

"Offer" means Commission Fee payment terms determined by the Company and set forth in bgt.hasoffers.com.

"Qualified Purchase" means a sale/subscription of(for) Services to(by) a Referred Customer which meets the Criteria (as this term defined hereunder) set forth in these Terms.

"Referred Customer" means each new and unique customer referred from Affiliate through a Link provided by or approved by Us, which meets the criteria set forth in these Terms.

"Registration Form" means any and all order forms, registration forms, or other signup or acceptance form (whether online, paper, fax, or otherwise), including any information in it, submitted by You.

"Services" – means (a) the website www.macflypro.com, and (b) all software (including the Software, as defined herein), applications, data, text, images, and other content that are available for purchase through www.macflypro.com (“Service Website”).

“Software” means MacFly Pro software for end users to clean cache and other temp files on their Apple Computer, clean startup and remove apps, find duplicates, and free up disk space.

"Software Download" means Software delivered to Referred Customer by transferring the Software (Software data) electronically to Referred Customer's Apple Computer.

"Spam" or "Unsolicited Promotions" means emails or any other messages that are circulated by you, directly or indirectly, including messages that are posted on newsgroups, chatboards and other types of online forums and which: (a) are directed at people who have not consented nor confirmed that they wish to receive promotional messages from you; (b) contain false and/or misleading statements; c) do not truthfully identify the source or the originating IP Address; or (d) do not provide the recipient with an option to easily opt-out from receiving future mailings or promotions from you.

"Hold" - Each offer has Hold value equal to the number of days given to the system and the advertiser to check the action. At the end of the Hold if the action is not canceled by the system or by the advertiser, the remuneration becomes available for withdrawal.

Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

No Use of This Site by Children (Under the Age of 13)

Our Website and/or Program are not directed towards children under the age of 13 years old. By participating in the Program, you represent and warrant that you are 13 years of age or older.

Eligibility

By participating in the Program you (Affiliate) represent(s) and warrant(s) that (a) all registration information Affiliate submits to us is truthful and accurate; (b) Affiliate will maintain the accuracy of such information; (c) Affiliate has full legal capacity to enter into legally binding relations under this Terms; and (d) using this Website and participating in Program under these Terms do not and will not conflict with the current legislation, any prescriptions and/or provisions, and/or regulations, and/or licenses and/or permits, and/or registration applicable to the Affiliate, (e) using this Website and participating in the Program do not and will not cause any violation and/or non-fulfillment of any agreement or other instrument to which the Affiliate is a party, or the effect of which extends to the Affiliate, (f) does not and will not conflict with any provisions of the constituent documents of the Affiliate (if any).

By participating in the Program, you agree that your profile may be deleted and your cooperation with macrevenue.com may be terminated without warning, if we believe that you do not fit the representations and warranties set forth in these Terms.

Enrollment in the Program

Affiliate must submit a completed registration form to begin the enrollment process. The registration form can be found at: bgt.hasoffers.com

Please note, that we may reject your application for any reason, in our sole discretion, including if we determine that your promotional techniques and/or Affiliate Website(s) are unsafe and/or illegal and/or unsuitable for the Program. Unsuitable promotional techniques and/or Affiliate Website(s) include, without limitation, those that contain illegal, offensive, infringing content or content that we otherwise deem offensive.

Please consider that participating in Program is possible only if you complete the registration form. You will receive a password and account (“Affiliate Account”) designation upon completing the Website's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password and/or your Affiliate Account. You agree to (i) immediately notify us of any unauthorized use of your password and/or Affiliate Account and/or any other breach of security, and (ii) ensure that you exit from your Affiliate Account at the end of each session. We shall not be liable for any loss and/or damage arising from your failure to comply with these provisions.

Links

If you qualify and agree to participate as an Affiliate, we will make available to you a variety of graphic and/or textual links (each of these links sometimes being referred to herein as "Links" or, individually, as a "Link"), which are subject to the terms and conditions hereof. Links will be made available to you (generated) in Affiliate`s Account upon your registration into the Program. The Links will serve to identify you as a member of our Program. The Links may connect to any area of Service Website(s) (although Commission Fee will only be issued on Qualified Purchases). In utilizing the Links, you agree that you will cooperate fully with us in order to establish and maintain such Links.

You also agree that you will display on your Affiliate Website only those graphic or textual images (indicating a Link) provided by us or text messages expressly approved in advanced by macrevenue.com. All Affiliate Websites shall display such graphic and/or textual images prominently in relevant sections of their website. Any information with respect to us that is going to be displayed on Affiliate Website must be provided by us and expressly approved by us in advance of any display. Affiliate shall not modify the Links in any way. We shall not be responsible for errors that occur in the tracking of transactions if Affiliate has made or caused any such modification.

Marketing Activities

You will, at your own cost and expense, market to and refer the Software and Services to potential customers. You shall be solely responsible for the content and/or manner of your marketing activities. All marketing activities must be professional, proper and comply with applicable laws and/or regulations. You represent and warrant that you will not promote our Services and Software in any manner, or use any media or other medium, which is libelous, discriminatory, obscene, unlawful or otherwise unsuitable or which contains sexually explicit, pornographic, obscene or graphically violent materials. You shall not actively target your marketing to any persons who are less than eighteen (18) years old, regardless of the age of majority in the location you are marketing. Under no circumstances will you send Spam that in anyway refer users to us.

You may not in any manner misrepresent or embellish the relationship between you and macrevenue.com. While we request that Affiliate identify itself on its Affiliate Websites as a member of our Affiliate Program, Affiliate shall not otherwise engage in any promotions which name us or imply any relationship or affiliation between the parties including, but not limited to, press releases, marketing materials, offline print advertising or marketing campaigns, media kits, screen shots, graphics altered for co-branding or any other format or media. Any such promotion will be considered grounds for immediate termination of your participation in this Program and these Terms and may invoke further legal action.

Prohibited Affiliate Practices

  1. Use of Google Network and/or Adwords

    The Affiliate gives their agreement NOT to advertise, promote, and/or somehow distribute MacFly Pro via Google Network or Adwords if they have not received a prior written consent from BGtech Affiliate Manager.

  2. Misleading advertising practices:

    Affiliate is prohibited to:

    1. Appoint a value to free products, thus causing an increased product value.
    2. Use pop-under and pop-up ads that look like warning messages and include misleading information that a user could perceive as scaring and/or that motivates them to make an action based on the intentionally false statement.

  3. Registration of deceptive domains

    Affiliate is forbidden to register a domain that might somehow violate trademark or copyright rights of competitors.

  4. Copyright infractions

    Affiliate is prohibited to use any third-party URLs, trademarks, branded terms, copyrights, and other similar materials to promote our product unless they have received a specific permission to use the copyright notices or trademarks for promotional purposes.

  5. Fraudulent reviews

    Affiliate is prohibited to:

    1. Post a review of the product without revealing affiliation and author.
    2. Post or ask a third-party to post insulting reviews for competitors’ services and/or products.

  6. Other controversial business practices

    Affiliate is forbidden to:

    1. Send emails to users who have not explicitly given their permission to be on the mailing list.
    2. Refuse to grant an unsubscribe request within 10 (ten) business days.

Note: If any paragraph from this section is violated, BGtech has a right to end these Terms and Conditions. In this case, Affiliate will have to pay off a compensation to BGtech. The amount of compensation is to be equal to the losses caused by the violation.

Responsibility for Affiliate Website

Affiliate shall be solely responsible for the development, operation, and maintenance of Affiliate Website and for all content that appears on such website. Such responsibility includes, without limitation: (i) the technical operation of Affiliate’s Website and all related equipment; (ii) the accuracy, timeliness and appropriateness of all content posted on Affiliate’s Website; (iii) ensuring that posted materials do not violate or infringe upon the rights of any third party; (iv) ensuring that posted content is not libelous or otherwise illegal. Affiliate shall not use any proprietary materials provided by us in a manner that is disparaging or that otherwise portrays us in a negative light.

Commission Fee Determination

Under the Program, you will be paid a Commission Fee for each Event made by a Referred Customer that you refer under and/or in accordance with the provisions of these Terms and Conditions.

For Event designated as Qualified Purchase, each Referred Customer and each Qualified Purchase must meet the following criteria (the "Criteria"):

  1. Each Referred Customer must be a new and unique visitor to Websites and must register by completing and submitting relevant customer registration form using a valid and unique account and billing information.
  2. Each Referred Customer must make a Qualified Purchase, and provide a valid payment for the purchased Services. To generate a Commission Fee for you, each Referred Customer must be an active, qualified customer and must be up-to-date in all payments at the time the Commission Fees are processed and not have been subject to a refund, credit, cancellation, suspension or chargeback.
  3. Each Referred Customer must sign up in a manner, which in our sole judgment, definitively establishes that the Referred Customer was referred directly from you to Service Website(s) under this Terms.
  4. Each Referred Customer must remain in compliance with Terms and Conditions of relevant Service Website(s), Privacy Policy and other policies that are active at the time the Commission Fees are processed.

Macrevenue.com reserves the right to immediately cancel or withhold for later review any Commission Fee based on the foregoing or that otherwise fails to meet the Criteria.

For any Event macrevenue.com reserves the right to suspend payment of Commission Fees at any time and indefinitely, if it suspects fraud or other improper activity and/or a potential breach of any of the provisions in this Terms and Conditions by the Affiliate and/or a Referred Customer(s). Macrevenue.com reserves the right to deduct from Affiliate's current and/or future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable, and cancelled Service purchases.

Macrevenue.com, in its sole discretion, reserves the right to withhold indefinitely any Commission Fee for any Event, and/or to reverse, deny or reject any Commission Fee, for:

  1. All commissions generated for Referred Customer accounts that may be fraudulent, including but not limited to the use of software that generates real and fictitious information.
  2. If we deem Event to be fraudulent or see a pattern of potentially fraudulent activity, including, without limitation, where there are multiple accounts from the same Referred Customer.
  3. Altering and/or modifying our Links in any way.

It is the responsibility of the Affiliate to monitor the payment, denial and withholding of Commission Fees; macrevenue.com is not obligated to actively notify Affiliates of the status of Commission Fees. If an Affiliate has a question about a Commission Fee that has been cancelled or withheld, that Affiliate has 30 days from the day the payment was due to contact macrevenue.com to discuss or reclaim the Commission Fee. Any changes to decisions about cancelled or withheld Commission Fees are strictly at macrevenue.com's discretion.

Any attempt by an Affiliate to manipulate and/or falsify Referred Customers, Event and/or Commission Fees to intentionally defraud macrevenue.com, or violation of any of the provisions of this Terms constitutes immediate grounds for us to terminate your participation in this Program and will result in forfeiture of any Commission Fees due to you.

Commission Fee Accrual and Payments

As a participant in our Affiliate Program, you will be entitled to receive a Commission Fee for the Events made by Referred Customers. Commission Fee, generally in the form of either a percentage of the Qualified Purchase amount or a flat fee, shall be determined by the Company and set forth in the Offer Description of the applying form.

All Commission Fee payments will be payable in United States Dollars only, except as otherwise determined by the Company in its sole discretion.

All payments shall be processed by online platform hasoffers.com. To receive payments through hasoffers.com you must read and accept hasoffers.com terms of use and policies. Please note that by accepting hasoffers.com terms of use you enter into agreement with hasoffers.com which is between you and hasoffers.com, and not between you and us. We are not affiliated entities and do not own and/or control hasoffers.com and/or hasoffers.com’ website and are not responsible for their content or actions.

Hasoffers.com may also collect personal data or solicit personal information from you, therefore we suggest you to read the terms and conditions and privacy policies of hasoffers.com.

Commission Fees by default will be processed on the 10th day of each month for active orders older than 30 days of the moneyback guarantee period unless Payment Hold is specified in Offer Description.

Commission Fees will accrue and only become payable once you (i) provide all relevant information and/or documentation necessary for valid Commission Fee to be issued; (ii) reach a Commission Fee level of US$[100] (the "Commission Threshold") based on the Account Balance of Affiliate`s Account. Macrevenue.com reserves the right to change the Commission Threshold by amending this Terms.

You are responsible for the payment of all taxes related to the commissions you receive under this Terms.

You are responsible for informing macrevenue.com about changes to postal and/or e-mail addresses, as well as any changes to your name, contact information, tax identification number, or other personal information that will impact macrevenue.com's ability to issue a valid Commission Fee payment.

Any changes in this information must be made at least 15 business days prior to the end of the calendar month in order for Commission Fees for that month to be sent.

Ownership.
Limited License for the Term of this Terms and Conditions

As between Affiliate and macrevenue.com, macrevenue.com shall own all right, title and interest, including all Intellectual Property Rights, in and to the Website, the Program and the Links. For the purposes of this Terms “Intellectual Property Rights” means copyright rights, trademark rights, patent rights, trade secrets, moral rights, right of publicity, authors’ rights, contract and licensing rights, goodwill and all other intellectual property rights as may exist now and/or hereafter come into existence and all renewals and extensions thereof.

We hereby grant to you a limited, non-exclusive, non-transferable, revocable license to use and display the Links and to access the Service Website through the Links solely in accordance with the provisions of this Terms and Conditions, and for the term of this Terms and Conditions.

Relationship

You and macrevenue.com are independent contractors and nothing in this Terms shall be construed to create any partnership, joint venture, agency, franchise, sales representative, or employment relationship. You have no authority to make or accept any offers or representations on behalf of macrevenue.com. You may not make any statement, whether on your Affiliate Website or otherwise, that contradicts anything contained in this section. You have no authority to enter into agreements, contracts, assume or create any liability or make agreements of any nature whatsoever for, in the name of, or on behalf of macrevenue.com.

Term

This Terms and Conditions shall remain in effect for as long as you continue to participate in the Program, or maintain Links to Service Website on your Affiliate Website(s) (“Term”). Either of us may terminate this Terms at any time, with or without cause, by giving the other party notice of such termination. No commissions shall accrue or be earned by you after the Term.

Affiliate is only eligible to earn Commission Fees on Qualified Purchases occurring during the Term, and fees earned through the date of termination will remain payable only if the related orders are not canceled or returned. We may withhold Affiliate’s final payment for a reasonable time to ensure that the correct amount is paid.

Upon termination of this Terms and Conditions, (a) all licenses hereunder shall terminate and (b) you shall immediately remove all Links from Affiliate Website(s) and cease using macrevenue.com name, logos, trademarks, service marks, and/or proprietary technology.

Please consider that any attempt by an Affiliate to manipulate and/or falsify Referred Customers and/or Qualifying Purchases or Commission Fees to intentionally defraud macrevenue.com, or violation of any of the provisions of this Terms constitutes immediate grounds for us to terminate your participation in this Program and will result in forfeiture of any Commission Fees due to you.

Limitations of Liability

MACREVENUE.COM SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS TERMS AND CONDITIONS (HOWEVER ARISING, AND REGARDLESS OF THE THEORY OF RECOVERY). MACREVENUE.COM’S TOTAL LIABILITY TO AN AFFILIATE ARISING OUT OF OR IN CONNECTION WITH THIS TERMS AND CONDITIONS IS LIMITED TO THE GREATER OF FIVE HUNDRED DOLLARS ($500) OR THE AMOUNTS PAID BY MACREVENUE.COM TO AFFILIATE DURING THE THREE (3) MONTHS IMMEDIATELY BEFORE THE FIRST REOCCURRENCE OF EVENTS GIVING RISE TO THE IMPOSITION OF LIABILITY UNDER THIS TERMS AND CONDITIONS.

Disclaimers

Macrevenue.com makes no express or implied warranties or representations with respect to the Program or any Services sold through the Program. In addition, macrevenue.com makes no representation that the operation of the Service Website, this Website and/or Program will be uninterrupted or error-free, and We will not be liable for any such interruptions or errors.

Indemnification

You agree to indemnify, defend and hold harmless Us from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against us that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these Terms and Conditions.

Confidentiality. Publicity

We are committed to protecting your confidentiality. We will not disclose your confidential information to third parties, except as required in the course of providing our services. Confidential information includes any materials or information provided by you to us which is not publicly known.

Confidential information does not include information that: (a) was in the public domain at the time we received it; (b) comes into the public domain after we received it through no fault of ours; (c) we received from someone other than you without breach of our or their confidentiality obligations; or (d) we are required by law to disclose.

We may publicly refer to you, orally or in writing, we may publish your name and/or logo on our Service Website(s), in press releases, and in promotional materials without your prior consent.

Arbitration

Any dispute, claim or controversy arising out of or relating in any way to the Program or these Terms, shall be determined by binding arbitration, instead of in courts of general jurisdiction. You agree that, by agreeing to this Affiliate Agreement, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision, and that you and macrevenue.com are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms and/or the termination of licenses granted by the us pursuant to the Terms.

If you elect to seek arbitration, you must first send to us, by email, a written Notice of your claim ("Notice of Claim"). The Notice of Claim to us should be sent to abuse@bgtech.ltd and should be prominently captioned "NOTICE OF CLAIM". The Notice of Claim should include both the mailing address and email address you would like us to use to contact you. If we elect to seek arbitration, we will send a written Notice of Claim to your email on file. A Notice of Claim, whether sent by you or by us, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific amount of damages or other relief sought ("Demand").

If you and macrevenue.com do not reach an agreement to resolve the claim within thirty (30) days after the Notice of Claim is received, you or macrevenue.com may commence an arbitration proceeding. You may download or copy a form of notice and a form to initiate arbitration at www.adr.org. The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Terms, and will be administered by the AAA. The arbitrator is bound by the terms of these Terms. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this arbitration provision.

Notification of Changes

We expressly reserve the right to change these Terms and Conditions from time to time without notice to you. You acknowledge and agree that it is your responsibility to review this Website and these Terms and Conditions from time to time and to familiarize yourself with any modifications. Your continued use of the Website after such modifications will constitute acknowledgement of the modified Terms and Conditions and agreement to abide and be bound by the modified Terms and Conditions.

If the agreement with BGtech is terminated, we reserve a right to retain information that is required for resolving disputes, user agreement enforcing, our legal rights protection, technical and legal compliance related to MacRevenue performance, security and integrity.

If you want us to remove all information about you and your use of our products and services, you can submit a data deletion request in accordance with data erasure right.

Assignment, Amendment and Severability

Neither this Affiliate Agreement nor any rights hereunder or interest herein may be assigned by either party without the written consent of the other, which consent will not be unreasonably withheld. This Affiliate Agreement constitutes the entire agreement between the parties and may not be substituted, varied or abridged in any manner, except as provided herein, unless by written amendment executed by an authorized agent or officer of either party. In the event any provision of this Affiliate Agreement is found to be void or unenforceable, all remaining provisions of this Affiliate Agreement will remain in full force and effect.
